1. About Us
The Opaq platform is operated by Deterix Ltd, trading as Opaq, a company registered in England and Wales under company number 09956587. Our registered office is at 57a Broadway, Leigh-On-Sea, Essex, SS9 1PE. References to "Opaq", "we", "us", or "our" in these terms refer to Deterix Ltd.
Opaq provides an AI-powered merchant onboarding platform designed for Independent Sales Organisations (ISOs), Acquirers, and Payment Facilitators (PayFacs) operating in the payments industry.
2. Definitions
In these Terms:
- "Platform" means the Opaq software, services, and associated tools accessible at opaq.io.
- "Client" means the ISO, Acquirer, or PayFac organisation that has contracted to use Opaq.
- "User" means any individual accessing the Platform on behalf of a Client.
- "Merchant Data" means data submitted by or about a merchant applicant during an onboarding flow.
- "Agreement" means the subscription or service agreement between Opaq and the Client, together with these Terms.
3. Platform Access
3.1 Eligibility
Access to Opaq is restricted to authorised Clients and their nominated Users. You must be acting on behalf of a legitimate business entity in the payments or financial services industry. Individual consumer use is not permitted.
3.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at team@opaq.io if you become aware of any unauthorised use of your account. We are not liable for losses resulting from unauthorised access caused by your failure to safeguard credentials.
3.3 Availability
We aim to keep the Platform available at all times but do not guarantee uninterrupted access. We may suspend access for maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable advance notice of planned downtime.
4. Acceptable Use
You agree not to use the Platform to:
- Submit false, misleading, or fraudulent merchant applications or data.
- Circumvent or attempt to circumvent any KYC, KYB, or compliance checks built into the Platform.
- Access or attempt to access data belonging to other Clients or their merchants.
- Reverse-engineer, decompile, or otherwise attempt to extract source code from the Platform.
- Introduce malware, viruses, or any code intended to disrupt or damage the Platform or its data.
- Use the Platform in any way that violates applicable law, including anti-money laundering legislation, data protection law, or financial services regulation.
- Resell or sub-license access to the Platform without our prior written consent.
5. Your Responsibilities
5.1 Data Accuracy
You are responsible for ensuring that all data submitted via the Platform — including merchant business information, KYC documents, and bank account details — is accurate, complete, and up to date. Opaq's AI autofill capabilities are provided as a convenience tool and you must verify all pre-populated data before submitting an application.
5.2 Regulatory Compliance
You remain solely responsible for meeting your own regulatory obligations, including those imposed by the FCA, card scheme rules, and your acquiring bank. Opaq provides tools to assist with onboarding workflows but is not a regulated entity and does not provide regulatory compliance advice.
5.3 Merchant Consent
Where you initiate an onboarding flow on behalf of a merchant, you are responsible for obtaining all necessary consents from that merchant for their data to be processed through the Platform, including for AI-assisted data extraction and identity verification.
6. Intellectual Property
All rights in the Platform, including its software, AI models, design, and documentation, are owned by or licensed to Deterix Ltd. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, reproduce, or create derivative works from any part of the Platform without our express written permission.
You retain ownership of Merchant Data submitted through the Platform. By using the Platform, you grant us a limited licence to process Merchant Data solely for the purposes of delivering the services described in your Agreement.
7. Confidentiality
Each party agrees to keep confidential any proprietary or sensitive information of the other party that is not publicly known. This obligation does not apply to information that: (a) is or becomes publicly available through no breach of this clause; (b) was already known to the receiving party; or (c) must be disclosed by law or regulatory requirement.
8. Data Processing
Opaq processes personal data in connection with the delivery of its services. Full details of how we collect, use, and protect personal data — including Merchant Data — are set out in our Privacy Policy. Where Opaq processes personal data on your behalf as a data processor, a separate Data Processing Agreement will form part of your Agreement with us.
9. Limitation of Liability
9.1 Exclusions
To the fullest extent permitted by law, Opaq excludes liability for:
- Loss of profit, revenue, or business opportunity.
- Loss of data or corruption of data.
- Indirect, consequential, or special loss of any kind.
- Decisions made by you or your clients in reliance on AI-generated outputs from the Platform.
9.2 Cap on Liability
Our total aggregate liability to you in connection with these Terms or your use of the Platform shall not exceed the total fees paid by you to Opaq in the twelve months preceding the event giving rise to the claim.
9.3 AI Outputs
AI-assisted features — including business data extraction, product recommendations, and KYC guidance — are provided as support tools only. We do not warrant that AI outputs are accurate, complete, or suitable for any specific regulatory or underwriting purpose. You must independently verify all AI-generated information.
10. Indemnification
You agree to indemnify and hold harmless Deterix Ltd, its directors, employees, and agents from any claims, losses, liabilities, or expenses (including reasonable legal costs) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; or (c) any claim by a third party relating to your use of the Platform.
11. Termination
Either party may terminate access to the Platform in accordance with the terms of your Agreement. We may suspend or terminate your access immediately and without notice if we reasonably believe you have materially breached these Terms, engaged in fraudulent activity, or your use poses a risk to the security or integrity of the Platform or other Clients' data.
Upon termination, your right to access the Platform ceases immediately. Subject to your Agreement and applicable law, we will retain Merchant Data for the periods specified in our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will notify Clients by email or in-platform notice with at least 14 days' advance notice. Continued use of the Platform after that notice period constitutes acceptance of the revised Terms. The current version will always be available at opaq.io/terms.html.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
